&lt;p&gt;Life in Africa USA was formed and registered in November of 2007 as a non profit corporation in the state of Washington. There was a small Christmas sales campaign on line and with Shawn Kelly but actual operations did not begin until February of 2008. Since the organization's year end is June 30, this only allowed 5 months of actual operations. Many challenges arose during these months which caused our results to be more than disappointing. However, we are more determined than ever to meet the challenges and move forward in the coming year. The following report will outline the challenges faced, the goals set forth and the financial reports for the year end.&lt;/p&gt;

&lt;p&gt;Director:       Evvy Bryning&lt;/p&gt;
&lt;p&gt;The mission of LIA USA is to fundraise and market crafts for the communities in Uganda and to support the programs operated by the communities. The two main programs for this year were the LiA Kids Club and the School Fee Campaign. While these programs are nowhere near where we wanted them to be, they are both in operation and are being funded which is a plus for the organization.&lt;/p&gt;
&lt;p&gt;The start up funds were loaned to the organization by Evvy Brying and the jewelry was provided from the stock owned by Christina Jordan. Both of these contributions are considered interest free loans to the organization and are slated to be repaid.&lt;/p&gt;
&lt;ul class="simple"&gt;
&lt;li&gt;The loan from Evvy Bryning in cash amounts to $8150.00 as of the end of the year. Payments on this loan shall be determined by the board as the revenue for the organization increases.&lt;/li&gt;
&lt;li&gt;The jewelry stock provided by Christina Jordan must also be paid. Currently 5% of all sales is being set aside as payment. As sales increase, the payment shall also increase to a monthly payment of appoximately $300 per month.&lt;/li&gt;
&lt;/ul&gt;

&lt;ul class="simple"&gt;
&lt;li&gt;The challenge is that the majority of the jewelry is still in Uganda. Evvy Bryning was able to bring a small amount in her suitcases when she returned but the postage to ship the remaining stock is substancial. There is also a lot of jewelry that is not saleable and must be restrung into saleable items. These costs must be allocated.&lt;/li&gt;
&lt;/ul&gt;
&lt;/blockquote&gt;
&lt;p&gt;&lt;em&gt;The organization is in the process of applying for a 501c3 certificate&lt;/em&gt;. We are currently working with a law firm in Seattle who are handling this pro bono. The challenge is that they are very busy and must do this in their spare time. They estimate that we will not have the certification for 7-12 months.&lt;/p&gt;
&lt;ul class="simple"&gt;
&lt;li&gt;This is a big challenge since many of our planned fundraising events require this certification. We are researching ways around this or to speed up the process.&lt;/li&gt;
&lt;/ul&gt;
&lt;/div&gt;
&lt;div class="section" id="challenges"&gt;
&lt;h1&gt;&lt;a name="challenges"&gt;Challenges:&lt;/a&gt;&lt;/h1&gt;
&lt;blockquote&gt;
&lt;ol class="arabic simple"&gt;
&lt;li&gt;None of us could have anticipated many of the events that transpired and the tradgedies that occurred at the start up of the organization.&lt;/li&gt;
&lt;li&gt;The tragedy in Uganda that involved a death in Christina’s prospective family through a huge monkey wrench in the works. None of us realized how crucial her participation was and when she was no longer able to participate, the organization suffered terribly.&lt;/li&gt;
&lt;li&gt;The move to Washington took much longer than anticipated by the director, Evvy Bryning, and this caused a delay in the actual start up of operations.&lt;/li&gt;
&lt;li&gt;Lack of adequate funding has been a huge challenge. Taking on the responsibility of paying the Ugandan salaries has proved to be a financial burden that has used half of the funds available leaving the organization constantly struggling on a month to month basis.&lt;/li&gt;
&lt;li&gt;The devaluation of the American dollar has also been a challenge. Due to this factor, the amounts we budgeted for programs has not been adequate to absorb the difference.&lt;/li&gt;
&lt;li&gt;Lack of the 501c3 certificate has proved to be crucial in fundraising efforts. Too many doors are closed to us because we do not have it.&lt;/li&gt;
&lt;li&gt;The website is very outdated and updated it without Christina has proved to be very difficult. Plus the fact that Microsoft chose to discontinue Front Page software. We now need to completely revamp the website so that it can be updated regularly.&lt;/li&gt;
&lt;li&gt;Poor communication between the directors and the communities in Uganda has caused a big rift in operations.&lt;/li&gt;

&lt;li&gt;Reorganize and update the website so that it can be maintained and updated on a monthly basis.&lt;/li&gt;
&lt;li&gt;We must explore new and better ways to generate income for the organization.&lt;/li&gt;
&lt;li&gt;We must develope and maintain a communication network between the board members and the communites in Uganda.&lt;/li&gt;

&lt;/div&gt;
&lt;div class="section" id="program-reports"&gt;
&lt;h1&gt;&lt;a name="program-reports"&gt;&lt;strong&gt;Program Reports&lt;/strong&gt;&lt;/a&gt;&lt;/h1&gt;
&lt;p&gt;The following is a report on the programs currently supported by LiA USA&lt;/p&gt;
&lt;/div&gt;
&lt;div class="section" id="jungle-beads"&gt;
&lt;h1&gt;&lt;a name="jungle-beads"&gt;Jungle Beads&lt;/a&gt;&lt;/h1&gt;
&lt;blockquote&gt;
&lt;ol class="arabic simple"&gt;
&lt;li&gt;While we have had some success with sales we must increase this in order to sustain the program. Currently we are only selling stock on hand and no new order have been placed. This is frustrating for the bead makers since they are relying on new orders to generate income for their families.&lt;/li&gt;
&lt;/ol&gt;
&lt;blockquote&gt;
&lt;ol class="loweralpha simple"&gt;
&lt;li&gt;We are currently negotiating a deal with Mark Grimes/Ned to sponsor a bracelet program for a 6 month trial . He will pay 5 beaders to produce bracelets at a set salary. This will provide them with a small  guaranteed income plus will provide the center in Kampala with the funds they need to reconnect the internet. Hopefully this program will start in the next few weeks. The members in Kampala are very excited and encouraged by this prospect.&lt;/li&gt;
&lt;li&gt;LiA Usa will also hire 5-6 beaders to restring existing stock into a new product we are calling “Jungle Bling”  These pieces will consist of necklaces in two lengths (18” and 28”), bracelets, and earrings all made with accent beads that glisten with gold, shine with silver or use the elegance of ebony. These new pieces will be for our Christmas campaign. The beaders will be paid a flat rate salary to produce the pieces ordered.&lt;/li&gt;
&lt;li&gt;We will aggressively approach a shared revenue program with groups who need to raise money. We currently have a test program going with a large church in So Cal and so far it looks like our share will be around $1000, maybe more. If we can do 1-3 per month to start, the revenue and order generation could be amazing. This would involve selling only bracelets and the split is 50/50.&lt;/li&gt;
&lt;li&gt;We need to develop an aggressive reseller program to target the small craft show/flea market venders. We are developing a wholesale price list to accommodate this.&lt;/li&gt;
&lt;li&gt;We are in the process of developing packaging for the products to facilitate marketing to small boutiques.&lt;/li&gt;
&lt;/ol&gt;
&lt;/blockquote&gt;
&lt;/blockquote&gt;
&lt;/div&gt;
&lt;div class="section" id="school-fee-campaign"&gt;
&lt;h1&gt;&lt;a name="school-fee-campaign"&gt;School Fee Campaign&lt;/a&gt;&lt;/h1&gt;
&lt;p&gt;We have sponsored 12 children at our centers in two terms of school. These children are all orphans and without assistance, have little or no hope of getting an education.&lt;/p&gt;
&lt;blockquote&gt;
&lt;ol class="arabic simple"&gt;
&lt;li&gt;12 is a good start but is nowhere near enough. We have identified around 200 that need assistance so this program needs to be expanded. This requires fund and a stable source needs to be found.&lt;/li&gt;
&lt;li&gt;A much better reporting system needs to be put into place for accountability and transparency.&lt;/li&gt;
&lt;li&gt;As this program develops and expands, funds will need to be allocated for a person on the ground in Uganda to administer the program. This will greatly improve the reporting process, the application process and assure accountability.&lt;/li&gt;
&lt;/ol&gt;
&lt;/blockquote&gt;
&lt;/div&gt;
&lt;div class="section" id="lia-kids-club"&gt;
&lt;h1&gt;&lt;a name="lia-kids-club"&gt;LiA Kids Club&lt;/a&gt;&lt;/h1&gt;
&lt;p&gt;The Kids Club has been our best success. Starting from a morning Breakfast club, we changed to a Saturday Kids Club. The children are given a nutritious meal and activities that are designed to be a healing for their spirits, character building, encouragement in school, behavioral counseling, and just plain fun which is something these kids don’t get too much of.&lt;/p&gt;
&lt;blockquote&gt;
&lt;ol class="arabic simple"&gt;
&lt;li&gt;Using an initial donation from La  Crescenta  Church, we were able to purchase the needed cooking utensils and to fund the program for the first two months at the centers in Kampala and Gulu.&lt;/li&gt;
&lt;li&gt;Activities included games, contests, art, drama, music, dance and debate&lt;/li&gt;
&lt;li&gt;At the end of the year we ran low on funds and were forced to eliminate the full meal but continue with the program providing snacks and drinks. And the children still come. We average around 70 children each Saturday.&lt;/li&gt;
&lt;li&gt;Many thanks to a wonderful staff in Uganda who have made this all happen. There is very little money for them in the way of pay but they do it for the kids. Hopefully we can develop the program through funding that will allow them to be paid sufficiently for their efforts and time.&lt;/li&gt;
&lt;/ol&gt;
&lt;/blockquote&gt;
&lt;p&gt;&lt;strong&gt;Community Report-Kampala&lt;/strong&gt;&lt;/p&gt;
&lt;hr /&gt;
&lt;p&gt;The community in Kampal has had many struggles but they remain focussed, determined and loyal to the organization. They have made good progress in filing their CBO documents and cooperated in all requirements put to them fom LiA USA.&lt;/p&gt;
&lt;blockquote&gt;
&lt;ol class="arabic simple"&gt;
&lt;li&gt;Their first endeavor was to move from the center in Kireka and to open a web cafe in Ntende. This proved to be a total failure due to the following reasons.&lt;/li&gt;
&lt;/ol&gt;
&lt;blockquote&gt;
&lt;ol class="loweralpha simple"&gt;
&lt;li&gt;They did not have adequate funding to support the cafe for the time needed to develop a business&lt;/li&gt;
&lt;li&gt;They found that no one knew how to use their type of computer and much time had to be spent trying to teach customers how to use them. This was frustrating for the staff who were mostly volunteers and so frustrating for the customer who subsequently just went to another cafe with regular PCs.&lt;/li&gt;
&lt;li&gt;They could not afford the more expensive internet connection and this made it impossible to compete with nearby cafes who could&lt;/li&gt;
&lt;li&gt;Power outages is a constant problem in Uganda and this makes it very difficult to run this type of business&lt;/li&gt;
&lt;/ol&gt;
&lt;/blockquote&gt;
&lt;ol class="arabic simple" start="2"&gt;
&lt;li&gt;It was decided, with the advice of LiA USA to close down the cafe and move back to the old cener which was much better located for the members and was well set up to host the Kids Club. LiA USA financed this move.&lt;/li&gt;
&lt;li&gt;We have currently developed two business models to support the community center. One is Varnish Production and the other is Soap Production. These can be launched together since much of the same equipment is used. These two businesses will be able to employ around 12 members as regular staff and will be able to provide the funds needed to pay the day to day operational expenses of the center.&lt;/li&gt;
&lt;/ol&gt;
&lt;blockquote&gt;
&lt;ol class="loweralpha simple"&gt;
&lt;li&gt;We are designing a chip in campaign to try and raise the funds needed to launch these businesses which will be forthcoming. We need to raise $2500 to get them going.&lt;/li&gt;
&lt;li&gt;The administrator and members have done a lot of work to develop these plans and have done an in depth survey of the market to insure that they will be profitable.&lt;/li&gt;
&lt;li&gt;Part of the procedes of these businesses will be used to launch more small enterprises that will employ more members. The idea is to have many small businesses that will support the members with a guaranteed income and will support the center and the programs.&lt;/li&gt;
&lt;/ol&gt;
&lt;/blockquote&gt;
&lt;ol class="arabic simple" start="4"&gt;
&lt;li&gt;This community has proved to be resilient and totally accountable. They are loyal and look forward to future programs, projects and involvement with LiA USA. There is a good network of staff in place and it is highly recommended that LiA USA continue their support of this community.&lt;/li&gt;
&lt;/ol&gt;
&lt;/blockquote&gt;
&lt;p&gt;&lt;strong&gt;Community Report-Gulu&lt;/strong&gt;&lt;/p&gt;
&lt;hr /&gt;
&lt;p&gt;It with great regret that we announce that as of July 2008 we have severed our ties with the community in Gulu. The center has been closed and all assets and liabilities have been taken back by Life in Africa Foundation. This includes the solar panels, computers, stock and furniture. We did not reach this decision easily.&lt;/p&gt;
&lt;p&gt;The community elected officers did not attempt to file their CBO documents as required, they refused to communicate and there was no accountability or transparency with regard to funds they recieved. We made every effort to work with them but it was in vain.&lt;/p&gt;
&lt;p&gt;We have notified and recieved the blessing of the District Manager in Gulu and we have encouraged the women to reorganize themselves, file their CBO papers and reapply for financial support in Jan of 2009. We have also made it known to the officials in Gulu that we will be happy to accept applications from other groups at that time.&lt;/p&gt;

&lt;p&gt;THE CONSTITUTION OF LIFE IN AFRICA COMMUNITY BASED ORGANISATION - KIREKA
A community based organization&lt;/p&gt;

&lt;strong&gt;LiA Kireka&lt;/strong&gt; - a community based organization started by Life in Africa Foundation in Uganda, now located in the outskirts of Kampala called Banda-Kireka.&lt;/blockquote&gt;
&lt;p&gt;Otherwise known as &lt;em&gt;The Acholi Quarter&lt;/em&gt;. More than 3000 families displaced by Northern Uganda's 20 year long war live in Kireka's sub-urban IDP camp. Now that the war is nearly over, many LiA Kireka members who live in the Acholi Quarter are longing to resettle back home.&lt;/p&gt;

This program is designed to train lia cbo members the internet and computer basic skills which will help them link up with both local and international communities through online communications in their own words that will result into community’s empowerment.  The communities learn the internet that helps them as searching tools for what they would need without the help of a person/teacher.  The internet has become cornerstone for all the community programs and activities.
(It also helps some one to brain storm his / her thinking capacity.)&lt;/p&gt;
&lt;p&gt;2.  Micro successes:
This program is to help the poorest of the poor get financial opportunities inform of small loans for sustainable projects.   The members learn many things right from home economics to business plans through loan review processes.&lt;/p&gt;
&lt;p&gt;3.  Children’s  program
The children are our future, so we bring the member children together and give them basic child services, apart from knowledge they get from school, during holidays they are taught discipline, career, hand work like peace tiles and also do games and sports. Our main aim is to provide them with nutritious food for their healthy growth and academic Excellency. ( on top of it we are  going to have internet 4 change for them too.)&lt;/p&gt;
&lt;p&gt;4.  Gallery/liacan:
The lia cbo members have the gallery that is full of paper beads products and other non paper beads jewelries that are solely produced by them as a way to sustain themselves.   The members also learn other innovative skills  (which will up lift them to another level living.)&lt;/p&gt;
&lt;p&gt;PREAMBLE:
This organization is formed for the purpose of improving the lives of the residents within the area of the organization's operations.&lt;/p&gt;
&lt;p&gt;ARTICLE ONE: NAME
Life in Africa community based Organization - Kireka&lt;/p&gt;
&lt;p&gt;ARTICLE TWO: REGISTERED OFFICE
The registered office shall be situated in Ntinda-Bukoto Nakawa division Kampala District or such other address as the Governing Council may determine from time to time.&lt;/p&gt;
&lt;p&gt;ARTICLE THREE: VISION
An empowered community that is self sustainable&lt;/p&gt;
&lt;p&gt;ARTICLE FOUR: MISSION STATEMENT.
To restore hope for the displaced persons of Acholi quarter members and other members within the community through strong relationship with the global community.&lt;/p&gt;
&lt;p&gt;ARTICLE FIVE: OBJECTIVES
1.To uplift the level and standard of community life for all of the community's children, including the most vulnerable.&lt;/p&gt;
&lt;p&gt;2.To facilitate savings, small loans and other forms of micro-project financing to the community (citizens of Uganda).&lt;/p&gt;
&lt;p&gt;3.To promote socio- economic development of the community through training in the production and marketing of handicrafts and locally viable products.&lt;/p&gt;
&lt;p&gt;4.To unite the community in local and global social action for sustainable development through household management capacity building and sensitization on local and global community issues.&lt;/p&gt;
&lt;p&gt;5.And to engage in such other activities, not prohibited by law, as the governing council may from time to time determine.&lt;/p&gt;
&lt;p&gt;ARTICLE SIX: MEMBERSHIP
The initial membership of the organization is:&lt;/p&gt;

&lt;p&gt;Each member shall be entitled to notice of the annual membership meeting and shall have a vote in the election of members to the Governing Council. The Governing Council shall set the membership fees as it deems appropriate and may allow for payment of fees in goods or services. Membership is open to all residents of the Kampala, Uganda area without regard to ethnic background, religious belief or political affiliation.&lt;/p&gt;
&lt;p&gt;MEMBERSHIP RIGHTS AND OBLIGATIONS&lt;/p&gt;

&lt;p&gt;A Foundation body:
The foundation body of LIA CBO shall be composed of the core/initial members of life in Africa foundation who are committed and dedicated and supportive group and as a body that founded lia cbo.&lt;/p&gt;
&lt;p&gt;B Ordinary member:
Shall be opened to all individuals who are displaced by war or those living within the Acholi quarters community or has been an active member for the foundation for the last five months of transition period.  Their main target of CBO programs and their main contribution will be participating in the community activities.&lt;/p&gt;
&lt;p&gt;C Associate membership:
Shall be opened to all individuals, international organizations and other civil society organizations of similar voluntary nature which legally operate in LIA districts of operations. ( Here you must know that you agree to all the conditions.)&lt;/p&gt;
&lt;p&gt;D Honorary membership:
-Merit to individuals with demonstrated record truce and interest in social issues affecting communities and are concerned about issues relating to improvement of the quality of lively hoods among the most disadvantaged populations in general.&lt;/p&gt;
&lt;p&gt;-Member’s exemplary performance during previously service to lia foundation.&lt;/p&gt;
&lt;p&gt;SECTION TWO
CRETERIA FOR MEMBERSHIP:&lt;/p&gt;
&lt;p&gt;A Foundation body:  (refer to membership right and obligation.)&lt;/p&gt;
&lt;p&gt;B Ordinary membership of lia cbo are the core beneficiaries of the organization categorized as; children, youth, women, men including elders.  To become an ordinary member, a person must pay an annual fee of 25,000/= and must be recommended by lia cbo member with clean records by filling in lia cbo member registration form. ( And here we need active members.)&lt;/p&gt;
&lt;p&gt;C Associate membership, shall submit application in writing to the chairperson of lia cob that shall be approved by the lia cob executive members.  The letter shall be accompanied by:&lt;/p&gt;
&lt;p&gt;-Copy of the constitution and work plan 
-Written commitment to abide by the lia cbo code of conduct
-Proof that the organization is engaged in activities compatible with the aims and objectives of lia cbo&lt;/p&gt;
&lt;blockquote&gt;
D   Honorary membership, admission will be by invitation proposal by the executive committee to the board of directors subject to approval by the general Assembly on the basis of:&lt;/blockquote&gt;
&lt;p&gt;-Demonstrated interest, merits and support of the voluntary work inline with lia cbo 
-Commitment and inclination to qualify of life transformation
-Qualifications and ability to serve as trustees
-Qualifications and possibility to donate towards lia cbo programs
-Ability to promote lia cob’s image in and outside Uganda.&lt;/p&gt;
&lt;p&gt;SECTION THREE:
RIGHTS AND OBLIGATION&lt;/p&gt;
&lt;p&gt;Foundation body:
-Form the management body of lia cbo 
-Responsible for the day to day running of lia cbo
-Hire and recruit lia cbo staff/personnel
-Be represented on all lia cbo committee
-Responsible for the implementation of all lia cbo program activities
-Ensure sustainability, growth and development of lia cbo
-Initiate all fundraising efforts&lt;/p&gt;
&lt;p&gt;Ordinary membership:
-individually registered members shall participate in the proceedings and activities of the General Assembly with full voting rights
-Lia cbo communities shall be represented by chairperson to participate in the proceedings and activities of the General Assembly with full voting rights
-Elect or be elected to any organ or committee of lia cbo
-Make use of the  facilities   of lia cbo as shall be agreed upon by the board of governors
-Meet their financial obligation to a lia cbo as shall be determined by the General Assembly from time to time
-Be nominated or selected as representatives in any undertaking of lia cbo
-Be registered in the register of all cbo members
-Be represented on all cbo management  committee categorically
- Form the main volunteer force of the foundation&lt;/p&gt;
&lt;p&gt;Associate members:
-participate in the proceedings and activities of the General Assembly but without voting right
-Not be legible for elections to any organ or committee of lia cbo
-Make use of facilities of cbo as shall be agreed upon by the board of governors
-Meet their financial obligations to cbo as shall be determined by the General Assembly from time to time
-Be nominated or selected as representative mainly of the undertakings of cbo
-Be registered in the register of associate members of cbo&lt;/p&gt;
&lt;p&gt;Honorary members:
-Eligible for election to become a patron of lia cbo
-Eligible for election to become member of the board of Governors
-Participate in the proceedings and activities of the General Assembly but without voting rights
-Make use of facilities of lia cbo as shall be determined by the board of Governors
-Be nominated or assigned as representatives to any of the undertakings of lia cbo
-Where applicable be called upon to serve as trustees of 
-Renew membership after every two years
-Be registered in the register of Honorary member of lia cbo&lt;/p&gt;
&lt;p&gt;ARTICLE SEVEN: ORGANS OF THE ORGANIZATION&lt;/p&gt;
&lt;p&gt;The organization shall have the following main organs:
a). The General Assembly - shall be an annual meeting of the members held at such time as the Governing Council shall determine, open to all members. The General Assembly shall elect the Governing Council by a vote of the members in accordance with procedures established by the Governing Council from time to time.&lt;/p&gt;
&lt;p&gt;b). The The Governing Council - consisting initially of the seven members listed above, shall meet at least once a month. The Governing Council shall have the power to establish policies and procedures for the conduct of the affairs of the organization, shall select the Executive Committee who may or may not be members of the Governing Council, and shall have the power to engage organization in any or all activities as it deems advisable, so long as such activity is not prohibited by law.&lt;/p&gt;
&lt;p&gt;c). The Executive Committee - shall be appointed by the Governing Council and shall consist of one to three people who have the authority to conduct the day to day affairs of the organization in accordance with policies and procedures established by the Governing Council. Members of the Executive Committee may or may not be members of the Governing Council and may or may not be Officers of the organization.&lt;/p&gt;
&lt;p&gt;ARTICLE EIGHT: Officers
1.The Governing Council will select a Chairperson of the organization who shall serve on the Executive Committee, and who may or may not be a member of the Governing Council, who shall have the authority to sign contracts, purchase real and personal property and supplies, hire and fire employees of the organization, serve as agent for the organization in negotiations and consultations with non-members and service providers, and serve as the official spokesperson for the organization. The President shall serve at the pleasure of the Governing Council.&lt;/p&gt;
&lt;p&gt;2.The Governing Council will select a Secretary of the organization who may or may not serve on the Executive Committee, and who may or may not be a member of the Governing Council, who shall keep the official records of the organization, and make them available to members and other interested parties in accordance with policies and procedures established by the Governing Council, including minutes of meetings, membership lists, contracts, deeds, titles, insurance policies, and such other records as may be determined by the Governing Council.&lt;/p&gt;
&lt;p&gt;3.The Governing Council will select a Treasurer who may or may not serve on the Executive Committee, and who may or may not be a member of the Governing Council, who shall see that all membership fees and other funds of the organization are deposited and/or invested in accordance with policies and procedures established from time to time by the Governing Council and shall keep timely and accurate records of all funds, bank statements, audit reports and other accounting records in accordance with policies and procedures established from time to time by the Governing Council.&lt;/p&gt;
&lt;p&gt;4.The Governing Council may designate such other offices and select persons to fill those offices as it determines to be in the interest of the organization.&lt;/p&gt;
&lt;p&gt;ARTICLE NINE: AMENDMENT OF THE CONSTITUTION
Amendments to this constitution shall be proposed by the Governing Council and approved by a majority vote of those present at a meeting of the General Assembly.&lt;/p&gt;
&lt;p&gt;ARTICLE TEN: DISSOLUTION OF THE ORGANIZATION
The organization shall dissolve if it becomes financially insolvent, and the Governing Council determines that there is no reasonable prospect for becoming solvent, or on the vote of a majority of the members present at a duly called meeting of the General Assembly. If a decision to dissolve is made, the organization shall cease all business transactions and persons designated by the Governing Council shall liquidate such assets as may be necessary to pay the obligations of the organization.&lt;/p&gt;
&lt;p&gt;Any assets left after all liabilities have been paid shall be donated to a charitable organization with a purpose similar to that of this organization.

&lt;p&gt;The mission of Life in Africa – USA is to enable and empower communities in Africa to organize themselves for the purpose of eradicating extreme poverty predominantly, but not limited to, areas affected by and recovering from war.
This will be accomplished by providing resources, networks and funding for community driven projects dealing with income generation, education, environment and psycho-social healing. Funding will be provided through fundraising campaigns, both online and off, and through the sale of community generated products in both local and international markets for the benefit of the communities in Africa.&lt;/p&gt;
&lt;p&gt;It is the belief of Life in Africa – USA that if organized, connected and provided resources, communities in Africa will be better able to lift themselves out of poverty and will then be able to assist other African communities in similar enterprises which will encourage development through grassroots community driven projects.&lt;/p&gt;

&lt;blockquote&gt;
The Board of Directors and Management of &lt;strong&gt;Life in Africa Foundation&lt;/strong&gt; (a Ugandan company limited by guarantee) has encouraged it's community members at &lt;strong&gt;LiA Kireka&lt;/strong&gt; and &lt;strong&gt;LiA Gulu&lt;/strong&gt; to independently register as local Community Based Organizations, and&lt;/blockquote&gt;
&lt;p&gt;Whereas&lt;/p&gt;
&lt;blockquote&gt;
Life in Africa Foundation (Uganda) has also encouraged the establishment of &lt;strong&gt;Life in Africa USA&lt;/strong&gt;, a non-profit making organization based in the State of Washington,&lt;/blockquote&gt;
&lt;p&gt;It is hereby agreed that the 4 organizational entities (Life in Africa Foundation, LiA Kireka, LiA Gulu and Life in Africa USA) shall work together during Q1-2008 as the &lt;strong&gt;Life in Africa WE Network&lt;/strong&gt; under the following operational guidelines:&lt;/p&gt;
&lt;ol class="arabic simple"&gt;
&lt;li&gt;This Q1-2008 interim agreement shall be temporary, pending&lt;/li&gt;
&lt;/ol&gt;
&lt;blockquote&gt;
&lt;ol class="loweralpha simple"&gt;
&lt;li&gt;resolution of and agreement on all outstanding issues related to the re-allocation of Life in Africa Foundation community assets, summarized at &lt;a class="reference" href="http://lifeinafrica.com/network/financesplit_feb08.htm" title=""&gt;http://lifeinafrica.com/network/ financesplit_feb08.htm&lt;/a&gt;, including detailed CBO revision/confirmation of all figures and verification by Life in Africa Foundation.&lt;/li&gt;
&lt;li&gt;completion of the official CBO registration process, and creation of organizational bank accounts by each CBO.&lt;/li&gt;
&lt;li&gt;continued joint development of Life in Africa program guidelines and complete &lt;a class="wikipage reference" href="http://www.ned.com/group/lia-usa/ws/index_of_cbo_documents/" title=""&gt;CBO documents, policies and procedures&lt;/a&gt;,&lt;/li&gt;
&lt;li&gt;review by legal counsel in Uganda and the USA, and&lt;/li&gt;
&lt;li&gt;a revised Memorandum of Understanding governing 2008 WE Network operations and 2009 planning procedures, to be be signed in Uganda between representatives of all 4 entities concerned no later than 31 March 2008.&lt;/li&gt;
&lt;/ol&gt;
&lt;/blockquote&gt;
&lt;ol class="arabic simple" start="2"&gt;
&lt;li&gt;During the Q1-2008 interim period that is covered by this agreement, Life in Africa USA shall transfer funds for CBO &lt;a class="reference" href="http://www.ned.com/group/lia-global/news/5/" title=""&gt;LiA 4 Kids program&lt;/a&gt; activities, to be disbursed and monitored locally by LiA Foundation and reported on in detail by appointed CBO members, according to draft program guidelines noted at the following publicly viewable pages:&lt;/li&gt;
&lt;/ol&gt;
&lt;blockquote&gt;
&lt;ol class="loweralpha simple"&gt;

&lt;li&gt;Community School Fees fund for Gulu: &lt;a class="wikipage reference" href="http://www.ned.com/group/lia-usa/ws/extraordinary_disbursals/" title=""&gt;http://www.ned.com/group/lia-usa /ws/extraordinary_disbursals/&lt;/a&gt;&lt;/li&gt;
&lt;/ol&gt;

&lt;li&gt;During the Q1 2008 interim period which this agreement covers, LiA Kireka and LiA Gulu will endeavor to collect all outstanding micro-loans from members for the purpose of:&lt;/li&gt;
&lt;/ol&gt;
&lt;blockquote&gt;
&lt;ol class="loweralpha simple"&gt;
&lt;li&gt;Both CBOs repaying to Life in Africa Foundation the full outstanding portfolio of Kiva loans remaining, by no later than 31 March 2008.&lt;/li&gt;
&lt;li&gt;LiA Kireka repaying all borrowed Onet group loan funds to LiA Gulu&lt;/li&gt;
&lt;li&gt;LiA Gulu converting previously donated Omidyar.net loan funds to Loan Guarantee Funds on deposit with Life in Africa Foundation, as prescribed for CBO member participation in the MicroSuccess Community Loan Guarantee program detailed at &lt;a class="reference" href="http://lifeinafrica.com/programs/microsuccess.htm" title=""&gt;http://lifeinafrica.com/programs /microsuccess.htm&lt;/a&gt;&lt;/li&gt;
&lt;li&gt;Both CBOs preparing members for Q2-2008 enrollment in the MicroSuccess credit rating and guarantee system detailed in draft form at &lt;a class="reference" href="http://lifeinafrica.com/programs/microsuccess.htm" title=""&gt;http://lifeinafrica.com/programs /microsuccess.htm&lt;/a&gt;, at levels appropriate to each borrower's history to date.&lt;/li&gt;
&lt;/ol&gt;
&lt;/blockquote&gt;
&lt;ol class="arabic simple" start="4"&gt;
&lt;li&gt;For the purpose of receiving disbursals of program funds and operational support during the Q1 2008 interim period covered by this agreement, and/or prior to completion of each CBO's locally official registration and creation of an organization-owned bank account, 3 members of each CBO governing board have opened joint accounts in temporary stewardship of CBO funds as follows:&lt;/li&gt;
&lt;/ol&gt;
&lt;blockquote&gt;
&lt;ul class="simple"&gt;
&lt;li&gt;LiA Kireka: Peter Ndelo, Mary Teopista Akware and Jesca Wassa, Centenary Bank Entebbe Road Branch, A/C no. 3020101671.&lt;/li&gt;
&lt;li&gt;LiA Gulu: George Ovola, Ojara Hellen, and Akena MK Michael, Barclays Bank Gulu Branch A/C no 8101785.&lt;/li&gt;
&lt;/ul&gt;
&lt;/blockquote&gt;
&lt;p&gt;All bank records on these accounts shall be made freely available to the Life in Africa Chief Accountant, and all balances in these accounts will be transferred to CBO owned accounts no later than 31 March 2008.&lt;/p&gt;
&lt;ol class="arabic simple" start="5"&gt;
&lt;li&gt;Each CBO will receive an operational assistance package from Life in Africa Foundation / USA that includes:&lt;/li&gt;
&lt;/ol&gt;
&lt;blockquote&gt;
&lt;ol class="loweralpha simple"&gt;
&lt;li&gt;An operational start up loan at 10% per annum from a private lender arranged through Life in Africa Foundation for a total amount of shs 7,500,000 per CBO. The loan is to be disbursed by Life in Africa Foundation to each CBO in 2 tranches of shs3,500,000 in early February, and shs4,000,000 upon signature of the 2008 Life in Africa WE Network MoU, on or before 31 March 2008. Loan repayments from each CBO of shs 562,000 per month shall begin on 1 May 2008 and continue monthly for 15 months through 1 July 2009. All interest paid shall be earned by Life in Africa Foundation; 100% of the loan capital must be returned to the lender by Life in Africa Foundation no later than 15 July 2008.&lt;/li&gt;
&lt;li&gt;12 months of financial support from Life in Africa USA (disbursed monthly) for each LiA CBO to hire a (required) Community Administrator that meets the job description requirements listed at &lt;a class="reference" href="http://lifeinafrica.com/jobs/communityadmin.htm" title=""&gt;http://lifeinafrica.com/jobs/com munityadmin.htm&lt;/a&gt;&lt;/li&gt;
&lt;li&gt;Ongoing technical capacity building in program planning, online reporting and financial accounting from Life in Africa Foundation staff, for a minimum of 10 onsite staff days per month at each CBO.&lt;/li&gt;
&lt;li&gt;Operational allowances of 10 - 20% built into all LiA USA/Foundation draft program fund disbursal guidelines.&lt;/li&gt;
&lt;/ol&gt;
&lt;/blockquote&gt;

&lt;dd&gt;&lt;p class="first"&gt;Community allocated School Fees fund from monies raised by La Crescenta High School, California on 2 June 2007.&lt;/p&gt;
&lt;p&gt;This amount is to be disbursed by the LiA Gulu CBO for school fees and school fees delivery costs only, according to a plan developed and described by the LiA Gulu CBO Governing Board &lt;em&gt;in this space&lt;/em&gt; no later than 29 Feb 2008. The reported details should include: criteria used for selecting beneficiaries, names and details of recipient children (incl member parent name, school name and class), and amounts paid for each child documented with receipts.&lt;/p&gt;
&lt;p&gt;Life in Africa Foundation agrees that up to 20% of the entire amount may be allocated to cover operational costs associated with the disbursal of these funds to the community's children&lt;/p&gt;

&lt;p&gt;Life in Africa USA provides online planning and fundraising support, as well as craft marketing assistance to &lt;strong&gt;LiA Gulu&lt;/strong&gt; - a community based organization started by Life in Africa Foundation in Uganda, now located in the outskirts of Gulu Town in the area known as &lt;em&gt;Senior Quarter&lt;/em&gt;&lt;/p&gt;
&lt;p&gt;LiA Gulu began as a community of parents and caretakers of children who were sleeping at one of the last night commuter shelters, as security began to return to the Northern Ugandan region and the night commuter problem in Gulu was winding down. With the night commuter center now closed, LiA Gulu remains a nurturing meeting place for the families of these children, who spent years sleeping away from their parents together and afraid.&lt;/p&gt;

&lt;p&gt;I have a desire to take up this challenging position, because of my good wealth of experience in the field of banking handling cash related transactions spanning over a period of seven years.&lt;/p&gt;
&lt;p&gt;Further still, my experience in the accounts field performing accounts related activities such as income and expenditures, pettycash, fixed assets, bugeting, liquidity monitoring and replenishement, duol control, cost management &amp;amp; control. Budget allocation and advice and reporting objectively the cash position to top management, make me one of the most suitable persons to join your institution.&lt;/p&gt;
&lt;p&gt;Currently, I work with Post bank Uganda based at Nkrumah Road Kampala, as head operations of cheques and salaries and forex clearance, these still places me in a good position to serve as chief accountant with your organization because for sure the position of chief accountant requires the knowledge of cheques which is a World Wide recognized and used instrument for business transactions.&lt;/p&gt;
&lt;p&gt;The holder of this position shall be expected to develop an accounting system or chart of accounts for trucking transactions this will depend on the output generated by the entity daily, weekly, monthly and annually, this is a task and a role that I can effectively discharge if given the opportunity.&lt;/p&gt;
&lt;p&gt;I do understand that this is a home based 40hrs/week requiring on line communication and 15 field days per month i.e. including 10days in northern Uganda and 5 days in Kireka which am extremely ready for it.&lt;/p&gt;

&lt;p&gt;&lt;strong&gt;THE CONSTITUTION OF LIFE IN AFRICA - GULU&lt;/strong&gt;&lt;/p&gt;
&lt;p&gt;&lt;em&gt;A community based organization&lt;/em&gt;&lt;/p&gt;
&lt;p&gt;&lt;strong&gt;PREAMBLE:&lt;/strong&gt;&lt;/p&gt;
&lt;p&gt;This organization is formed for the purpose of improving the lives of the residents within the area of the organization's operations.&lt;/p&gt;
&lt;p&gt;&lt;strong&gt;ARTICLE ONE&lt;/strong&gt;: NAME&lt;/p&gt;
&lt;p&gt;Life in Africa - Gulu.&lt;/p&gt;
&lt;p&gt;&lt;strong&gt;ARTICLE TWO&lt;/strong&gt;: REGISTERED OFFICE&lt;/p&gt;
&lt;p&gt;The registered office shall be situated in _____________ division _____________ District or such other address as the Governing Council may determine from time to time.&lt;/p&gt;
&lt;p&gt;&lt;strong&gt;ARTICLE THREE&lt;/strong&gt;: OBJECTIVES&lt;/p&gt;
&lt;ol class="loweralpha simple"&gt;
&lt;li&gt;To uplift the level and standard of community life for all of the community's children, including the most vulnerable.&lt;/li&gt;
&lt;li&gt;To facilitate savings, small loans and other forms of micro-project financing to the community (citizens of Uganda).&lt;/li&gt;
&lt;li&gt;To promote socio- economic development of the community through training in the production and marketing of handicrafts and locally viable products.&lt;/li&gt;
&lt;li&gt;To unite the community in local and global social action for sustainable development through household management capacity building and sensitization on local and global community issues.&lt;/li&gt;
&lt;li&gt;And to engage in such other activities, not prohibited by law, as the governing council may from time to time determine.&lt;/li&gt;
&lt;/ol&gt;
&lt;p&gt;&lt;strong&gt;ARTICLE FOUR&lt;/strong&gt;: MEMBERSHIP&lt;/p&gt;
&lt;p&gt;The initial membership of the organization is:&lt;/p&gt;
&lt;blockquote&gt;

&lt;p&gt;Akena Mk Micheal&lt;/p&gt;

&lt;p&gt;Katusi Denis&lt;/p&gt;
&lt;p&gt;Okello Morris Barry&lt;/p&gt;
&lt;p&gt;Hellen Ojara&lt;/p&gt;
&lt;/blockquote&gt;
&lt;p&gt;Each member shall be entitled to notice of the annual membership meeting and shall have a vote in the election of members to the Governing Council.  The Governing Council shall set the membership fees as it deems appropriate and may allow for payment of fees in goods or services.  Membership is open to all residents of the Gulu, Uganda area without regard to ethnic background, religious belief or political affiliation.&lt;/p&gt;
&lt;p&gt;&lt;strong&gt;ARTICLE FIVE&lt;/strong&gt;: ORGANS OF THE ORGANIZATION&lt;/p&gt;
&lt;p&gt;The organization shall have the following main organs:&lt;/p&gt;
&lt;p&gt;a). The &lt;strong&gt;General Assembly&lt;/strong&gt; - shall be an annual meeting of the members held at such time as the Governing Council shall determine, open to all members.  The General Assembly shall elect the Governing Council by a vote of the members in accordance with procedures established by the Governing Council from time to time.&lt;/p&gt;
&lt;p&gt;b). The &lt;strong&gt;The Governing Council&lt;/strong&gt; - consisting initially of the eight members listed above, shall meet at least once a month.  The Governing Council shall have the power to establish policies and procedures for the conduct of the affairs of the organization, shall select the Executive Committee who may or may not be members of the Governing Council, and shall have the power to engage organization in any or all activities as it deems advisable, so long as such activity is not prohibited by law.&lt;/p&gt;
&lt;p&gt;c). The &lt;strong&gt;Executive Committee&lt;/strong&gt; - shall be appointed by the Governing Council and shall consist of one to three people who have the authority to conduct the day to day affairs of the organization in accordance with policies and procedures established by the Governing Council.  Members of the Executive Committee may or may not be members of the Governing Council and may or may not be Officers of the organization.&lt;/p&gt;
&lt;p&gt;&lt;strong&gt;ARTICLE SIX&lt;/strong&gt;: Officers&lt;/p&gt;
&lt;ol class="loweralpha simple"&gt;
&lt;li&gt;The Governing Council will select a &lt;strong&gt;Chairperson&lt;/strong&gt; of the organization who shall serve on the Executive Committee, and who may or may not be a member of the Governing Council, who shall have the authority to sign contracts, purchase real and personal property and supplies, hire and fire employees of the organization, serve as agent for the organization in negotiations and consultations with non-members and service providers, and serve as the official spokesperson for the organization.  The President shall serve at the pleasure of the Governing Council.&lt;/li&gt;
&lt;li&gt;The Governing Council will select a &lt;strong&gt;Secretary&lt;/strong&gt; of the organization who may or may not serve on the Executive Committee, and who may or may not be a member of the Governing Council, who shall keep the official records of the organization, and make them available to members and other interested parties in accordance with policies and procedures established by the Governing Council, including minutes of meetings, membership lists, contracts, deeds, titles, insurance policies, and such other records as may be determined by the Governing Council.&lt;/li&gt;
&lt;li&gt;The Governing Council will select a &lt;strong&gt;Treasurer&lt;/strong&gt; who may or may not serve on the Executive Committee, and who may or may not be a member of the Governing Council, who shall see that all membership fees and other funds of the organization are deposited and/or invested in accordance with policies and procedures established from time to time by the Governing Council and shall keep  timely and accurate records of all funds, bank statements, audit reports and other accounting records in accordance with policies and procedures established from time to time by the Governing Council.&lt;/li&gt;
&lt;li&gt;The Governing Council may designate such other offices and select persons to fill those offices as it determines to be in the interest of the organization.&lt;/li&gt;
&lt;/ol&gt;
&lt;p&gt;&lt;strong&gt;ARTICLE SEVEN&lt;/strong&gt;: AMENDMENT OF THE CONSTITUTION&lt;/p&gt;
&lt;p&gt;Amendments to this constitution shall be proposed by the Governing Council and approved by a majority vote of those present at a meeting of the General Assembly.&lt;/p&gt;
&lt;p&gt;&lt;strong&gt;ARTICLE EIGHT&lt;/strong&gt;: DISSOLUTION OF THE ORGANIZATION&lt;/p&gt;
&lt;p&gt;The organization shall dissolve if it becomes financially insolvent, and the Governing Council determines that there is no reasonable prospect for becoming solvent, or on the v
